Job Title: Contracts Manager

position Summary:
Trulieve is seeking a detail-oriented Contracts Manager to join our team. This role supports the Company’s contracts and transactional attorneys. The role will primarily focus on managing contract lifecycle, assisting in corporate transactions, corporate governance support and filings, and performing substantive paralegal work under the direction of licensed attorneys.
Responsibilities:
- Administer and manage the contract lifecycle from intake through execution and post-execution tracking, including routing for legal and business review, approval workflows, signature coordination, and contract close-out, in accordance with company policies and attorney guidance.
- Draft, revise, and coordinate review of standard-form contracts, including vendor agreements, NDAs, and service agreements, as well as amendments and renewals, using approved templates and playbooks, with attorney review required for non-standard terms
- Maintain accurate and up-to-date records within the company’s contract lifecycle management platform, ensuring version control and audit readiness, and compliance with internal controls, record retention policies, and regulatory requirements.
- Monitor and track outstanding items, contractual obligations, and expiration dates to ensure timely follow-up and compliance.
- Prepare, coordinate, and file entity formation documents, amendments, dissolutions, and required state annual and periodic reports for new and existing corporate entities across multiple state jurisdictions.
- Draft and assist with ancillary legal documents and exhibits related to corporate transactions, including entity formation, reorganization, disclosure schedules, stock purchase agreements, and merger agreements; prepare and manage closing checklists and ensure post-closing compliance.
- Manage the due diligence process for corporate transactions, including the collection, organization and preliminary review of documents.
- Prepare comprehensive disclosure schedules for corporate transactions and regulatory compliance purposes.
Qualifications:
- Bachelor’s degree or Paralegal Certificate preferred.
- Minimum of 10 years of experience as a paralegal in a corporate or law firm setting.
- Strong understanding and working knowledge of corporate law, compliance processes, governance, and entity management in an in-house environment.
- Experience with contract lifecycle management platforms.
- Experience in legal invoice review and legal matter management platforms.
- Excellent organizational and communication skills.
- Ability to manage multiple tasks and meet deadlines in a fast-paced environment. Comfortable and capable of working with little supervision and within variable degrees of supervision, solo and within a lean in-house team, in a fast-paced environment to prioritize workload, support high-volume contracting needs, and scale legal operations across a growing, multistate organization.
- Understand and adapt to various competing business and legal needs.
WORK CONDITIONS & SCHEDULE:
- Full time - variable (typically M-F, business hours may occasionally begin in Eastern Time Zone through Pacific Time Zone); because this role supports business partners and coordinates with outside counsel in all U.S. time zones, some flexibility in workday is required.
- Type or otherwise input text in computer and manipulate mouse or similar adaptive device.
- Speak clearly on telephone, in remote meetings and in person so listeners can understand.
- Understand the speech of another person on telephone, in remote meetings and in person.
